摘要：El propòsit d’aquest article és definir la teoria de la firma que es desprèn de l’anàlisi transaccional que n’efectua la nova economia institucional. En aquesta, l’empresa deixa de ser un capítol de la teoria neoclàssica dels mercats per passar a ser definida com una estructura de contractes. D’aquesta manera, amb plantejaments crítics a l’interior de l’economia neoclàssica, com ara els supòsits de racionalitat limitada, informació imperfecta i incertesa, la teoria dels drets de propietat, la teoria de l’agència i la teoria dels costos de transacció han efectuat ajustos al model neoclàssic de l’empresa, amb l’objectiu d’adaptar-lo al model d’empresa gerencial, on el control efectiu ja no és exercit pels titulars legals, sinó per gerents professionals contractats.
其他摘要：The present article aims to outline the theory of the firm that derives from a transactional analysis grounded in the New Institutional Economics. In this framework, the firm no longer constitutes a mere chapter of the neoclassical theory of market, but instead represents a well-defined structure of contracts. Critical approaches to Neoclassical Economics focusing on the problems of bounded rationality, imperfect information and uncertainty, such as the Theory of Property Rights, the Theory of Transaction Costs and Agency Theory, have amended the neoclassical model of the firm, seeking to adapt it to the managerial model in which actual control of the firm is not in the hands of legal owners but those of professional managers.
