摘要:Boards of directors, especially in large-scale and publicly traded businesses, are central to corporate governance practices and play a fundamentally important role. Therefore, it is very important to try to understand the dynamics that affect the board structure. The main objective of this study is to investigate whether the effectiveness of the boards of directors of enterprises that can be evaluated in this context in Turkey and the ability of the boards to develop strategies differ according to the structural characteristics of the boards. As a sample of the study, a survey study was conducted for businesses included in the Anadolu 500 list. As part of the study, all 500 companies were reached and the data of 200 businesses were analyzed among those who responded positively to the survey. The aim of the research was developed within the scope of hypotheses testing reached as a result of the findings, according to the number of members of the board that determines the structure of the board of directors, board independence, board distribution of gender and other characteristics such as age and professional experience of the members of the board of directors as they did not lead to any difference in effectiveness of the boards. Again, it was understood that the same variables did not lead to any difference in the ability of boards to develop strategies. Empirical results in this study have revealed outcomes that support the theory of Management Hegemony.
