摘要：This paper analyzes the institute of legal personality and its effects on limited liability companies, joint stock companies and the limited liability individual entrepreneur. The personification of the companies can be considered a breakthrough in Business Law, because it gives legal rights and obligations to the corporate, which help companies to fulfill their social function. However, the patrimonial autonomy and limitation of liability - as main effects of personification – have also become to be used to harm third parties through fraud and illegal acts. The disregard of legal entity is the legal principle that just happens to be used to curb these abuses and fraud through the corporate.
