摘要:Purpose – This paper identifies, amongst long-term contracts, its regulatory function, by way of applying a twofold interpenetration based on regulation and the theory of contracts. Methodology/approach/design – This paper consists in a literature review having as a background the perceptions of the New Institutional Economics, especially the works of Coase (1988) and Williamson (1979). In the field of the theories of regulation, the paper features Cary Coglianese’s (2003) work on management-based regulation, to be compared with the state of the art of the theory of contracts. Findings – The role of contracts on the governance of private relations goes far beyond the mere regulation of specific exchanges. The regulatory function of contracts, hence, is a powerful way to analyze long-term relations in order to overcome old and inadequate dogmatics. Originality/value – This paper suggests the regulatory function of contracts – i.e., the role of contracts on structuring long-term relations – is a fundamental asset on contractual analysis, since these agreements establish a truly new private ordering around legal obligations.↓Propósito – O objetivo da pesquisa ora empreendida é o de caracterizar, nos contratos de longo prazo, a sua função regulatória, tendo em vista a interpenetração de elementos de regulação e teoria contratual Metodologia/abordagem/design – O presente trabalho parte de revisão bibliográfica e tem como pano de fundo principal as percepções da Nova Economia Institucional, especialmente a partir dos escritos de Coase (1988) e Williamson (1979). No campo das teorias regulatórias, pretende-se utilizar os pressupostos da chamada management-based regulation, partindo-se principalmente dos trabalhos de Cary Coglianese (2003), a serem analisados em paralelo ao estado da arte da teoria contratual. Resultados – O papel dos contratos na regência das relações privadas vai muito além da mera normatização de trocas econômicas pontuais, sendo imprescindível para a sua compreensão o estudo de sua função regulatória, sem a qual a análise da governança de relações de longo prazo fica relegada a uma dogmática jurídica antiquada e inadequada às demandas dos agentes econômicos. Originalidade/relevância do texto – O presente trabalho sugere que a função regulatória pode ser um meio relevante para a compreensão de vínculos contratuais de longo prazo, que, muito mais do que reger uma troca econômica específica, realizam verdadeira normatização de uma relação jurídica complexa e que faz jus a seu próprio ordenamento.
