摘要：Different models of corporate governance are formed in different economic and social systems. Commercial Code from 2003 (Offi cial Gazette No. 111/93, 34/99, 52/00, 118/03) was amended and modifi ed with the Amendment to the Commercial Code (Official Gazette No. 107 from 19 October 2007) that shall enter into force from 1 April 2008. According to the possibility of choosing one of two models for governance, the purpose of this paper is to analyse characteristics of each model because the possibility of choosing requires understanding of their characteristics. In this paper the author analyses strengths, weaknesses, opportunities and threats of models and modifies or fulfils SWOT analysis with dimension of convergence. This analysis provides a new, different base for considering alternatives and making decisions.
