摘要：O objetivo deste trabalho é dar uma contribui..o para a pesquisa em Governan.a Corporativa por meio de revis.o de literatura sobre as Teorias do Agente e da Firma, importantes referenciais sobre o assunto. A partir da revis.o de literatura, o trabalho foca na liga..o entre as teorias estudadas e os tipos de contratos e as ferramentas para alinhamento de interesse entre as partes. Finalmente, é feita uma reflex.o sobre os mecanismos de governan.a utilizados no Brasil para amenizar os conflitos entre firma e mercado e incentivar os agentes a adotarem uma conduta que torne o mercado mais eficiente
其他摘要：The objective of this paper is to give a contribution to research in corporate governance by reviewing the literature on Agent and Firm Theories. From the literature review, the work focuses on the connection between the theories studied and the types of contracts and the tools to align the interests of the parties. Finally, it is a reflection on the governance mechanisms used in Brazil to ease conflicts between the firm and the market and encourage staff to adopt a conduct that will make the market more efficient
