摘要：Este artigo explora os referenciais da teoria da agência e teoria do stewardship, caracterizados por diferentes premissas sobre a natureza humana e motivação dos gestores, com o objetivo de investigar a contribuição dessas teorias na formulação de modelos de governança para cooperativas de crédito. Ao atuarem em bases colaborativas em um ambiente competitivo, as cooperativas de crédito exibem tanto particularidades quanto possibilidades não exploradas nos modelos tradicionais de governança corporativa, por trazerem considerações valorativas que sustentam seu modelo de negócio. A partir de uma revisão do referencial teórico da governança corporativa, da análise da atuação das cooperativas de crédito no país, e de entrevistas em profundidade com gestores de organizações desse segmento, esta análise exploratória indicou que uma associação das duas teorias pode vir a proporcionar melhor efetividade para tratar as questões de governança das cooperativas de crédito, trazendo novas possibilidades também a organizações atuando em contextos semelhantes.
其他摘要：This article explores the references of the agency theory and the stewardship theory, characterized by different assumptions about human nature and motivation of the managers, in order to investigate the contribution of these theories in the formulation of models of governance to credit cooperatives. While working on collaborative basis in a competitive environment, the credit cooperatives exhibit both characteristics as unexplored possibilities for analyzing traditional models of corporate governance. Based on a review of the theoretical reference of corporate governance, the analysis of the performance of cooperative credit institutions in the country, and in-depth interviews with managers of organizations that segment, the results of this exploratory study indicate that a combination of the two theories could provide better effectiveness to address the issues of governance of the cooperative credit institutions, bringing new contributions also to organizations working in similar contexts.
